Definition of Franchisee

By the term “Franchisee,” we refer to the authorized party approved by Sushruta Ayurvedic Therapy Center Pvt. Ltd. (hereinafter referred to as “Master Franchisor”) to sell and promote our health supplements in the Indian market as per the terms outlined in this document.

Master Franchisor

The term “Master Franchisor” refers to Sushruta Ayurvedic Therapy Center Pvt. Ltd., located at:

E-54, Third Floor, Main Vikas Marg, Opposite Metro Pillar No. 44, Laxmi Nagar, Delhi - 110092, India

Manufacturing of products: Our all products are manufactured by M/S IHR Indian Herbal Remedies Pvt. Ltd. 141, DIC Industrial Area, Baddi, Distt Solan, Himachal. All products will be supplied directly by M/S IHR Indian Herbal Remedies Pvt. Ltd. to Franchisees under guidance of Best Ayurveda Limited, Canada.

Discounts and Margins

Franchisees will enjoy attractive trade margins between the purchase price and the Maximum Retail Price (MRP) for all products. The specific margin details will be communicated at the time of onboarding and are subject to periodic revision.

Freight

Goods will be dispatched to Franchisees on a “To Pay” basis. The responsibility for further distribution to customers will rest solely with the Franchisee.

Transit Losses

All risks and losses related to breakage, shortages, damage, or delays during transit are the responsibility of the Franchisee. Sushruta Ayurvedic Therapy Center Pvt. Ltd. will not entertain any claims regarding transit damages.

Payments

All transactions must be made via Advance Cheques / Draft / RTGS / NEFT / Demand Draft (D.D.) / Pay Order.

Franchisees must ensure all purchase orders are accompanied by 100% advance payment.

Licensing and Compliance

Franchisees are required to obtain and maintain all necessary licenses, including GST registration, FSSAI licenses, and other relevant permissions for the sale and distribution of health supplements. The Master Franchisor bears no responsibility for any non compliance with government regulations by the Franchisee.

Minimum Order Requirements

Franchisees are required to place a minimum order of INR 50,000 across all products followed by monthly order of INR 10,000 across all products.

Delivery and Stock Availability

The Master Franchisor is not liable for delays caused by stock shortages, transportation issues, strikes, accidents, or unforeseen events.

Cash Handling Policy

No sales or administrative staff is authorized to accept cash payments from Franchisees. Any such incidents must be reported immediately to the Master Franchisor

Product Quality and Handling

Franchisees must ensure that goods are stored appropriately to maintain their quality and shelf life. Any deteriorated product must be withdrawn from sale and reported to the Master Franchisor. Products must be sold with original packaging, labels, and seals intact.

Return and Exchange Policy

Goods once sold are not returnable or exchangeable unless prior written consent is obtained from the Master Franchisor.

Terms for Indian Territory

These terms and conditions, including pricing, are applicable exclusively to Franchisees operating in the Indian market. The Master Franchisor reserves the right to change terms, conditions, and prices without prior notice.

Territory and Exclusivity

Franchisees must operate strictly within their agreed territory. Operating outside the designated territory without prior approval may result in termination of franchise rights.

Jurisdiction

All disputes arising from transactions or these terms and conditions shall fall under the exclusive jurisdiction of the Court at Nalagarh, Distt. Solan, H.P.
