1. Definition of Franchisee

The term “Franchisee” refers to an authorized business entity or individual duly approved by Sushruta Ayurvedic Therapy Center Pvt. Ltd. (hereinafter referred to as the “Master Franchisor”) to market, distribute, and promote the company’s range of health supplement products within the Indian territory, in accordance with the terms and conditions outlined herein.

2. Master Franchisor

The Master Franchisor shall mean Sushruta Ayurvedic Therapy Center Pvt. Ltd., registered office located at:
E-54, Third Floor, Main Vikas Marg, Opp. Metro Pillar No. 44, Laxmi Nagar, Delhi-110092, India.

All products are manufactured exclusively by M/s IHR Indian Herbal Remedies Pvt. Ltd.,located at 141, DIC Industrial Area, Baddi, District Solan, Himachal Pradesh, India, and shall be supplied directly to Franchisees under the technical supervision of Best Ayurveda Limited, Canada.

3. Discounts and Margins

Franchisees shall be entitled to competitive trade margins between the Purchase Price and the Maximum Retail Price (MRP).
The applicable discount and margin structure shall be communicated during onboarding and may be subject to periodic revision at the sole discretion of the Master Franchisor.

4. Freight

All consignments will be dispatched on a “Freight To Pay” basis. The Franchisee shall bear full responsibility for freight charges and any further distribution of goods within their territory.

5. Transit Losses

All risks, damages, shortages, breakages, or delays occurring during transit shall be the exclusive responsibility of the Franchisee. The Master Franchisor shall not accept any liability or entertain claims related to transit losses once goods have been dispatched.

6. Payments

All payments must be made in advance through Cheque, Demand Draft (D.D.), Pay Order, RTGS, or NEFT in favor of:

Orders will be processed only upon receipt of 100% advance payment.

7. Licensing and Compliance

Franchisees must obtain and maintain all necessary licenses, permits, and registrations, including GST and FSSAI compliance, as required under prevailing laws. The Master Franchisor shall not be held liable for any non-compliance or regulatory violation by the Franchisee.

8. Minimum Order Requirements

Initial Minimum Order Value                : INR 50,000 (across all product categories)
Subsequent Monthly Minimum Order: INR 10,000

Failure to maintain the minimum order requirements may result in suspension or termination of franchise privileges.

9. Delivery and Stock Availability

The Master Franchisor shall not be responsible for delays in delivery arising from factors such as stock unavailability, transportation disruption, strikes, accidents, or other events beyond reasonable control.

10. Cash Handling Policy

No representative or staff member of the Master Franchisor is authorized to accept cash payments from Franchisees.
Any such incident must be immediately reported to the Master Franchisor in writing.

11. Product Quality and Handling

Franchisees shall ensure that all goods are stored under appropriate conditions to maintain product integrity and shelf life.
All products must be sold in their original sealed packaging with intact labels. Any damaged or deteriorated stock must be withdrawn from sale and reported promptly to the Master Franchisor.

12. Return and Exchange Policy

All sales are considered final.

Goods once sold are non-returnable and non-exchangeable, except in cases of prior written authorization from the Master Franchisor due to verified manufacturing or packaging defects.

13. Terms for Indian Territory

These terms and conditions, including pricing, are exclusively applicable to the Indian market and may be modified, amended, or withdrawn at any time without prior notice by the Master Franchisor.

14. Territory and Exclusivity

Franchisees must operate strictly within their assigned territory. Engaging in sales or marketing activities outside the designated region without written approval may result in immediate termination of franchise rights.

15. Jurisdiction

All disputes or claims arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the Courts of Nalagarh, District Solan, Himachal Pradesh, India.
